For an emerging university spin-off, legitimacy must be sought from multiple stakeholders with different expectations. The entrepreneurial team must adapt its strategy to obtain from these stakeholders the various dimensions of the legitimacy. We analysed a case of failure of a project of spin-off. The theoretical framework of legitimacy helped us to understand the reasons of this failure. It shows in particular that the moral dimension is important in the case of French university spin-off.
